Use it when the relevant benchmark is the price a real acquirer paid, including the control premium: setting an offer or defense range in a sale process, or grounding a control-value view that trading comps miss. The method runs in eight steps. It screens transactions that resemble the subject (sector, size, geography, deal type) over a cycle-relevant lookback window, often three to five years, then assembles the deal facts each measure needs: announcement date, acquirer type (strategic or sponsor), deal value, and the target's LTM EBITDA and revenue at announcement. Paid multiples use metrics as of the announcement date, never today's EBITDA against a historical price, and control premia compare the offer price to the unaffected price one day and one month before announcement, with the unaffected date chosen carefully so a rumor-driven run-up does not understate the premium. Context is adjusted for openly rather than blended silently: cycle peaks and troughs are flagged, and strategic buyers who may pay for synergies are kept separate from sponsors who underwrite to a return. The benchmark states the median and mean paid multiple and the median premium, and the subject's implied value range comes from applying the low, median and high paid multiples, bridged back to an offer price per share and sanity-checked against the observed premium range, with an interpretation that names any precedent down-weighted and why. Honest caveats: deal data is yours to supply or source and is often incomplete for private targets, and the buyer universe matters: if only sponsors are realistic bidders, the skill says to weight sponsor deals more heavily.
