The workflow locks the transaction structure and a labelled sources and uses table first, applies realistic financing costs at the marginal cost of new issuance rather than the average cost of existing debt, builds a synergy schedule with type, magnitude, phasing (the standard pattern is 25, 50 and 100 percent across years one to three), cost to achieve and dis-synergies, models the tax mechanics (cash tax rates, NOL use, the debt tax shield, intangible deductibility), builds the amortization drag from the intangible step up, computes the diluted share count carefully, runs the math year by year, sensitizes the inputs that actually move the answer, and closes with the credit and capital allocation implications.
